Public Offer Agreement

1. General Information

1.1. This Public Offer Agreement («Agreement») govern your use of the services provided by PE Kikhtenko O.O., which is registered in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations (USREOU 3117407986, location: 18 Kopylenko St., Kharkiv, 61107, Ukraine) (hereinafter the «Executor») including the purchase of tickets for events, access to educational content, participation in online or offline events, and access to the Because Talent Matter Ecosystem («Ecosystem») defined on the website at https://talentsmatter.org (hereinafter referred to as the «Services» and the «Website» respectively).
1.2. By purchasing a ticket or registering for an event, you agree to comply with this Agreement.

2. Definitions

2.1. Ecosystem: A closed professional ecosystem designed for HR and recruitment specialists.

2.2 User: An individual who has placed an order and successfully completed the payment for the Services.

2.3. Services: Provision of access to the Ecosystem and Content under the terms specified in this Agreement and specified by the Executor in the relevant section of the Executor’s Website https://talentsmatter.org.

2.4. Subscription: A prepaid membership to the Because Talent Matter Ecosystem under the relevant pricing plan, granting you the right to access Services according to the terms of the specific Subscription. The Subscription is personal and non-transferable to third parties.

2.5. Content: Videos, text-based materials, graphics, audiovisual works, or any other resources developed, organized, or provided by the Executor for the User’s use.

2.6. Order: A properly submitted request by the User to receive the Services, addressed to the Executor.

3. General Provisions

3.1. This Agreement is concluded by the User providing full and unconditional consent (acceptance) to the Terms in their entirety, without requiring the physical signature of a written copy by the parties.

3.2. This Agreement has legal force in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine and are equivalent to terms signed by the parties.

3.3. By accepting this Agreement, the User confirms that they have read, understood, and agreed to all its provisions in full.

3.4. Any of the following actions shall constitute acceptance of this public offer:

  • Registration by the User on the Executor’s website and placing an Order for the Executor’s Services on the website;
  • Payment for the Executor’s Services under the conditions and procedures outlined in this Agreement and on the relevant pages of the Executor’s website;
  • A written (including electronic) notification by the User, via email, confirming their acceptance of this Agreement, sent to the email address specified on the website.
  • By accepting this Agreement, the User automatically agrees to the full and unconditional acceptance of the provisions outlined in this Agreement and the prices of the Services.

3.5. By accepting this Agreement, the User acknowledges and guarantees that they have all the necessary rights and legal capacity to comply with its provisions.

4. Subject of the Agreement

4.1. The Executor grants the User access to the following functionalities and Content of the Ecosystem, including:

  • access to the knowledge base
  • access to all features and functions of the chatbot
  • mentoring support
  • participation in Ecosystem’s events
  • discounts from Ecosystem’s partners.

4.2. The names and list of functionalities and Services may be updated or modified by the Executor from time to time without prior notice to the User.

5. Service Terms and Conditions

5.1. Having familiarized himself with the current version of the Price List, the User pays the payment invoice issued by the Executor.

5.2. After the User pays the issued invoice and funds are credited to the Executor’s current account, This Agreement enters into force.

5.3. The services are considered to be provided properly and in full, if the User does not file a complaint within one day from the end of the service provision.

6. Personal Data

6.1 By filling out the form on the Website, you authorize us to process and store your personal data provided during registration.

6.2 The Executor has the right to retain and process your personal data solely for the purpose of providing the Services.

7. Event Registration and Tickets

7.1. All event registrations are subject to availability and confirmation of payment.
7.2. Tickets for events hosted by the Ecosystem are sold through our website and may be limited in number.
7.3. Tickets are non-transferable unless explicitly stated in the event details or approved by us.
7.4. It is the responsibility of the User to provide accurate personal and contact information during the registration process.

8. Obligations of the Executor

8.1. Provide the Services in full, in the proper manner and within the terms stipulated in this Agreement.

8.2. Provide the User with informative and methodical materials.

8.3. Timely post changes on the official Website and on pages in social networks.

8.4. In the event of a change in the terms of service provision, notify the User no later than 2 (two) business days before the start of service provision.

9. Obligations of the User

9.1. Make payment in the amount specified in the Price List.

9.2. Specify your real Name and Surname during registration.

9.3. Not to take any actions and proposals that give grounds for legal prosecution of both the Executor and the User within the framework of this Agreement.

10. Cancellation and Refund Policy

10.1. The Executor reserves the right to refuse to provide the Services under this Agreement at any time. For events, the amount paid by the User will be refunded according to the terms of the refund policy outlined below. For Subscriptions, the service will remain active until the end of the current paid period and will not be renewed thereafter. The Executor must notify the User in writing, via e-mail, at least 5 (five) working days before the expected date of termination of the Service access.

10.2. The User has the right to cancel participation in any event at any time, with mandatory notification to the Executor in writing, by e-mail. In such cases, the following refund policy applies:

  • If the User cancels 3–10 days before the event: 50% of the paid amount will be refunded;
  • If the User cancels 2 days or less before the event: no refund will be provided.

10.3 The Executor reserves the right to modify the terms of this Subscription Refund Policy at any time. Any changes will be communicated to the User via e-mail, and the updated terms will be posted on the Website.

11. Responsibilities of the parties

11.1. Both parties are responsible for the non-fulfillment or improper fulfillment of their obligations in accordance with the legislation of Ukraine and this Agreement.

11.2. The parties are not responsible for the occurrence of force majeure circumstances (unforeseen, unavoidable, uncontrollable events such as natural disasters, strikes, lock-downs, etc.), and must notify the other party in writing no later than the next day of the occurrence of such events, providing documentary confirmation.

12. Duration of the Agreement

12.1 The Agreement enters into force from payment for Services by the User, and is valid until the parties fulfill their obligations.

13. Disputes of the parties

13.1. In the event of disagreements or disputes on issues arising from or related to this contract, the parties will take all measures to resolve them through negotiations in an atmosphere of commonwealth and mutual understanding. If an agreement is not reached, disputes are resolved in accordance with the procedure established by the current Law of Ukraine.

13.2. The Executor is released from responsibility for the violation of the terms of this Agreement, if such violation is caused by the action of force majeure circumstances (circumstances of force majeure). Such actions, in particular, are the actions of state authorities, local governments, lockdowns, fire, flood, earthquake, other natural disasters, lack of electricity and/or computer network failures, strikes, civil disturbances, riots. Also, the problems that caused the disruption of the event due to political events in the country.
